These Terms of Service ("Terms") govern your access to and use of BuamsHR, Inc. ("BuamsHR", "we", or "us") and its HR management platform. By creating an account or using the service, you agree to these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using BuamsHR, you confirm that you are at least 18 years old, have authority to enter into this agreement on behalf of your organization, and agree to be bound by these Terms.
2. Account & Access
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.
You may invite team members to your account. You are responsible for their compliance with these Terms.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
3. Subscription & Billing
BuamsHR is offered on a subscription basis. By providing payment information, you authorize us to charge the fees applicable to your plan.
- Trial: You may use the service free for 14 days. No credit card is required to start a trial.
- Setup fee: A one-time setup fee applies when converting from trial to paid subscription.
- Monthly billing: Subscription fees are billed monthly based on your employee count at the end of the billing period.
- Changes: Adding or removing employees will adjust your next billing cycle on a prorated basis.
- Cancellation: You may cancel at any time. Access continues until the end of your current billing period. No refunds for partial months.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable employment law
- Attempt to gain unauthorized access to other accounts or systems
- Reverse engineer, decompile, or copy any part of the platform
- Transmit malware, spam, or disruptive code
- Use the platform to store or process data unrelated to your organization's HR operations
5. Your Data
You retain ownership of all data you input into BuamsHR ("Customer Data"). By using the service, you grant us a limited license to process your data solely to provide the service.
We act as a data processor under applicable privacy law; you act as the data controller. You are responsible for ensuring you have appropriate authority to input employee data and that your use of the platform complies with applicable law.
We will not access your Customer Data except to provide the service, troubleshoot at your request, or as required by law.
6. Intellectual Property
All rights, title, and interest in BuamsHR — including the software, design, trademarks, and documentation — belong to BuamsHR, Inc. These Terms do not transfer any intellectual property rights to you.
Feedback or suggestions you provide may be used by us to improve the platform without compensation or attribution.
7. Confidentiality
Each party agrees to keep the other's confidential information (including business data, pricing, and technical details) confidential and not to disclose it to third parties without prior written consent, except as required by law.
8. Termination
Either party may terminate this agreement at any time. We may terminate or suspend access immediately if you violate these Terms, fail to pay fees, or engage in conduct harmful to the platform or other users.
Upon termination, your right to access the platform ceases. Customer Data will be retained for 30 days, during which you may export it. After that period, data will be deleted.
9. Limitation of Liability
To the maximum extent permitted by law, BuamsHR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim.
10. Governing Law
These Terms are governed by the laws of the State of [Delaware], USA, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in that jurisdiction.
11. Changes to Terms
We may update these Terms from time to time. We will notify you via email or an in-app notice at least 14 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
